What makes a contract valid?

On Behalf of | Aug 13, 2024 | Business Litigation

When starting and running a business, some fundamental components are vital to operations. To keep the wheels turning smoothly, business owners typically employ various tools, including contracts, whether to establish partnerships or conduct transactions.

Despite being an essential part of operating in any industry, these documents are also subject to specific requirements to keep them legally sound. Arrangements can become unenforceable without meeting them, mainly when a breach happens. The technical specifications needed to make a contract valid include the following:

  • An agreement between involved parties with a complete understanding of what the terms are
  • Clear statements where a party makes an offer and the other accepts
  • Responsibilities, obligations, rights and other components that will benefit either or both parties involved in the agreement.
  • Eligibility of all parties based on capacity, including age limits and mental ability
  • Lawfulness of terms and conditions included in the contract

Additionally, keeping the document’s content legal is crucial. If any terms go against the law, a judge could consider the contract invalid, which also voids any breaches.

Some contracts, such as those used in real estate, also require a written document to become enforceable. If a legitimate contract exists, all parties receive protection, regardless of who may fail to hold their end of the deal.

Having a deep understanding of legal issues in business

Aside from contract breaches, other legal issues can arise simply by running a business. Sometimes, owners can face employment-related complaints, problems involving their products or other partnership disputes. When dealing with these concerns, legal counsel could help protect the business and address these matters. Experienced insight could also be beneficial before entering any contracts, allowing parties to discuss terms effectively and foresee problematic situations that may occur in the future.
